Outside General Counsel
For clients that have not yet reached the stage of developing an in-house
legal team (or have, for whatever reason, chosen not to do so), we can act as
the client’s outside general counsel. In effect, we can become the client's
legal department by using an approach which consists of the same
essential elements as our approach to serving the legal needs of our clients
with in-house legal teams. These elements, in brief, are:

 | Assignment of a dedicated counsel to each client; |
| On-site presence by the dedicated counsel, on an as-needed basis; |
| Intimate knowledge of the client's structure, business activities, and | |
| key individuals; |
| Prompt attention and fast turn-around on all time-sensitive matters by | |
| the dedicated counsel; |
| Cost-effective handling of all client matters through the combination | |
| of these elements as well as favorable billing arrangements. |
The services we provide to the management company as outside general
counsel are, typically, general corporate counseling, transactional and
operational advice, document review, drafting and negotiation. In addition, in
the absence of in-house counsel, we may take a more prominent role in
ensuring that the client’s securities, regulatory, tax, and compliance matters
are properly handled. Typically, this may involve our firm acting as liaison
between the client’s management and its securities, regulatory, tax or
employment counsel or, in the alternative, providing access to such
specialized counsel if and when the circumstances so require.
